- Represent various types of businesses in corporate and commercial real estate matters
- Represent real estate developers in structuring investments, preparing letters of intent and purchase documents and formation of related business entities
- Represent technology companies in preparation of service, licensing and other business agreements
- Represent buyers and sellers in negotiating letters of intent, and preparing purchase documents and loan documents
- Review of franchise agreements for prospective purchasers
- Advise on formation of new businesses; prepare appropriate documents for filing with state corporations commissions and for inclusion in company records books
- Assist with formation of nonprofit organizations
Financing
- Represent regional financial institutions and borrowers in reviewing title, survey, leases and other due diligence, preparing documents for and closing commercial loans (including but not limited to real estate)
- Represent defeasance borrowers as New York or North Carolina counsel
- Extensive commercial real estate lending experience: construction, conduit, and balance sheet
- Experience with various property types: shopping centers, office buildings, hotels , condominiums, pharmacies, industrial warehouses, apartments and mixed-use projects
- Experience with tenant-in-common (TIC) deals and 1031 exchanges
- Represented loan servicers in closing of more than 150 commercial loan defeasance transactions
- Represent investors in acquisition and financing of investment property
- Loan workouts, modifications and refinancings
- Venture capital investments
